All contracts must be reviewed, approved and signed by the "Management", General Manager or President before considered valid.
For clients that agree to automatic payments, your pricing will be locked for the next three years. If automatic renewal is impossible due to insufficient funds or other reasons, a 15% increase will apply to your next renewal pricing.
The client shall not sell, assign, transfer, sublet, or in any way resell the client-ship, to parties not bound by this agreement.
If the client sells or discontinues business before or after signing this agreement, payment of the amount owed under this agreement will not be waived. The Client agrees to make payment of the amount owed directly through escrow if the business is sold.
The Client agrees to create and/or provide the requirements (login information/access to review platforms, hotel images, onboarding forms etc.) needed within 5 business days of signing the agreement, then a monthly/annually service fee will be charged. This applies irrespective of whether the requirements are submitted/provided subsequently.
This agreement is for twelve consecutive month terms and will automatically renew for the monthly/annual amount listed above, unless written notice is received 30 days prior to the end of term.
For monthly subscriptions, the client is required to pay the first and last month's fee upfront at the start of the service.
Client agrees and acknowledges that in the event of any default regarding payment on its account, any and all costs, attorneys' fees and/or collections fees and any outstanding balance must be paid in full prior to reinstatement.
Should Client fail or neglect to make the payments due on terms listed in this Agreement (including chargebacks, missed payments, non-sufficient funds, or credit card denials, etc.) all discounts applied during the last 12 months shall be forfeited and Client agrees to pay standard rates for all products and services fulfilled by Management.
The undersigned Client warrants and represents that the Client is the owner of or authorized person to permit use of all logos, illustrations, trademarks, trade names, cuts, images, and any other artwork provided to Management for use in the Client's reservation or marketing services.
In the event of a breach of this provision the Client shall indemnify and hold harmless Management from all claims and/or damages including reasonable attorneys' fees and costs. Management makes no representations, warranties and/or guarantees not expressly stated in this agreement. Client acknowledges that there are no warranties, guarantees, projections, and/or forecasts made by Management.
If the agreed upon referrals are not received within five days of receipt of the signed agreement the terms will automatically revert to the non-referral payment terms. Client will have fifteen days from date of signing to provide the agreed upon referrals and be eligible for refund of non-referral charges.
Client understands that in the event that this agreement is not paid, signer will personally guarantee any monies owed from products and services provided by Management.
By executing this Agreement, the Client warrants and represents to have read the terms of this agreement, and neither Management nor the Client shall be bound by any agreement, representation and/or understanding not expressed herein.
In the event that a dispute arises under the terms of the agreement, the party prevailing in that dispute will be entitled to recover its attorney fees and court costs in addition to such other relief as may be granted.
